Terms of Service for Improve Core d.o.o.

Effective Date: 11. April 2023.

Welcome to Improve Core d.o.o. ("Improve Core," "we," "us," "our"). We specialize in providing comprehensive software testing services, including but not limited to the analysis of software testing processes, development of test automation frameworks and automated tests, development of frameworks for performance testing, and implementation of performance tests, as well as direct software testing of client applications.

These Terms of Service ("Terms") govern your access to and use of our services ("Services"). By entering into a contract with us, you agree to be bound by these Terms and our Privacy Policy.

1. Services

We offer services in analysis, development, and implementation within the software testing domain. Specific services are outlined in the contractual agreement signed prior to engagement.

2. Payment Terms

Payment terms are specified within the contractual agreement, generally requiring payment within 15 days upon issuance of an invoice.

3. Client Obligations

Clients are responsible for providing all necessary access to systems, information, and resources as may be reasonably required to allow us to perform the Services efficiently. Clients are expected to provide timely feedback when necessary to facilitate the progress of the Services.

4. Intellectual Property

All intellectual property created, developed, or delivered under the scope of our Services, including testing artifacts (e.g., test cases, reports), shall be the sole property of the client.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, testing methodologies, and client data disclosed during the engagement, except as required by law.

6. Warranties and Disclaimers

We warrant that our Services will be provided in a professional manner consistent with industry standards. This warranty is valid for 30 days following the expiration of the contract. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND IMPROVE CORE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

7. Termination

Either party may terminate the Services agreement under conditions specified within the contractual agreement, including but not limited to breach of these Terms, upon giving the required notice as defined in the contract.

8. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be resolved by the courts of Serbia, unless otherwise agreed upon in the contractual agreement.

9. Amendments

Improve Core reserves the right to amend these Terms at any time. Clients will be notified of any changes via the contact information provided to us.

11. Acceptance of Terms

Acceptance of these Terms is required to enter into a contract with Improve Core and is achieved upon the signing of the contractual agreement.
